In short. The website and the demo are free to explore and are for information only. If your clinic becomes a customer, your clinic owns its data, we keep it private and secure, and you stay in charge of every clinical decision: Odontra and its AI features help with records and administration, they never replace a doctor’s judgement.
1. About these Terms
These Terms are an agreement between you and DCPL Technology Private Limited (CIN U62099GJ2023PTC138756), 1011, Silver Trade Center, Nr. VIP Circle, Utran, Mota Varachha, Surat – 394105, Gujarat, India (“DCPL”, “we”, “us”). They apply when you:
- visit odontra.app (the “Website”);
- try the demo clinic at demo.odontra.app or demo-patient.odontra.app (the “Demo”); or
- use the Odontra software and related services for a clinic (the “Service”).
If you use Odontra on behalf of a clinic, you confirm that you have the authority to accept these Terms for it. When a clinic becomes a customer we also agree the plan, price and start date in writing (an “Order”). These Terms and the Order together form the agreement; if they differ, the Order wins on that point. Please also read our Privacy Policy, which explains how personal data is handled. If you do not agree to these Terms, please do not use the Website, the Demo or the Service.
2. Who Odontra is for
Odontra is professional software for dental practitioners and clinic staff, and for adults (18 or over). Patients who use a clinic’s patient app or patient website are dealing with their clinic; we provide the technology to the clinic. Nothing in Odontra is meant for a patient’s self-diagnosis or self-treatment.
3. The Website
- The Website is for information. It is not medical, legal, tax or professional advice, and we may change it at any time. We try to keep it accurate but cannot promise it is free of mistakes.
- Use it lawfully. Please do not scrape it at scale, overload it, probe or test its security without our written permission, or send false or spam requests through the demo form. If you find a security problem, write to info@dcpltechnology.com and we will listen.
- Links to other websites are for convenience. We do not control them and are not responsible for them.
4. The Demo
- The Demo uses made-up sample data. Please do not enter real patient or personal data. If you do, you are responsible for it and we may delete it.
- An invite link is meant for the person or clinic it was given to. Please do not post or share it publicly. We may expire or withdraw any invite at any time.
- The Demo resets automatically, so whatever you enter is erased. It does not send real messages to anyone. Its features and limits may differ from the live Service.
- The Demo is free and provided “as is”. We may change or withdraw it at any time.
5. The Service
- What you get. Odontra is hosted software for dental clinics: patient records, scheduling, treatment plans, billing, reports, a patient app, and optional AI and messaging features. Each clinic gets its own private system with its own database, name, logo and address. Features can differ by plan, and we may improve or change the Service over time. If we remove a core feature we will give reasonable notice.
- Fees. Fees, the term and any minimum commitment are set out in your Order. Unless the Order says otherwise, fees are exclusive of GST and other applicable taxes and are payable by the due date on the invoice. If an invoice stays unpaid after reasonable written notice, we may suspend the Service until it is paid. Your data stays safe and exportable during any suspension. We will give at least 30 days’ notice of a price change, which takes effect from your next renewal.
- Support. By WhatsApp, phone and email, Mon–Sat, 10am–7pm IST. Unless your Order says otherwise, response times are best efforts.
- Availability. We use reasonable care to keep the Service running, but we cannot promise it will be uninterrupted or error-free. There may be maintenance, and third-party services we depend on can fail. We give no fixed uptime guarantee unless your Order says so.
6. Accounts and security
- The clinic owner sets up the people who use Odontra and gives each a role (doctor, associate, receptionist, assistant or accountant). The clinic is responsible for who has access, for the accuracy of the information it enters, and for keeping sign-in details — including the owner’s authenticator device and recovery details — safe.
- The clinic must remove access for staff who leave, and is responsible for activity under its accounts.
- Tell us promptly at info@dcpltechnology.com if you suspect unauthorised access. We may require stronger sign-in steps where needed to protect the clinic’s data.
7. Your clinic’s data
- It is yours. The clinic owns the patient records, bills, files, messages and other content it puts into Odontra (“Clinic Data”). We do not claim ownership of it.
- What we may do with it. The clinic gives us a limited, non-exclusive right to host, process, back up, transmit and display Clinic Data only to provide, secure and support the Service. We do not sell it or use it for advertising. We may use technical usage information about the Service itself (such as errors and which features are used) to run and improve it — never patient content.
- Roles under the law. For patient personal data, the clinic is the Data Fiduciary and we are the Data Processor under India’s Digital Personal Data Protection Act, 2023. The clinic is responsible for having a lawful basis, giving patients their notices, obtaining consent where needed, keeping records accurate, answering patients’ requests and deciding how long records are kept. We process Clinic Data only on the clinic’s instructions, keep it confidential, apply reasonable security safeguards, help the clinic respond to patients’ requests and to any breach, and return or delete the data at the end of the agreement. A separate data processing agreement can be signed on request. Section 9 of the Privacy Policy gives the details.
- No sharing between clinics. We look at Clinic Data only when the clinic asks us for support, when it is needed to keep the Service working or secure, or when the law requires it.
- Export. The clinic can export all its data in open formats at any time.
8. Clinical responsibility and AI features
- Odontra is administration and record-keeping software. It does not diagnose, treat or give medical advice and does not replace professional judgement. The doctors and the clinic remain responsible for every clinical decision, for the accuracy of records and prescriptions, for obtaining patients’ consent to treatment, and for following dental and medical council rules and the law.
- Safety aids. Allergy banners, drug-clash warnings and similar features are aids, not guarantees. They can be incomplete or out of date, and the clinician must always check.
- AI features (voice charting, drafting and the AI Front Desk) produce drafts. They can mishear, misunderstand or be wrong. By design the doctor ticks every finding before it reaches the chart, and the AI does not suggest treatment, quote prices or give medical advice — but we cannot promise that no output will ever fall short, so the clinic must review what the AI produces before relying on it.
- The AI Front Desk stays off until the clinic switches it on, and a booking it takes is a request that the clinic confirms.
- AI provider. The clinic connects its own OpenAI or Anthropic account, pays that provider’s charges and is bound by that provider’s terms. We are not responsible for the provider’s service.
9. Messaging
- The clinic is responsible for having its patients’ permission to message them, for respecting those who opt out, and for following WhatsApp and Meta’s business policies and the law that applies to its messages.
- Use messaging only for communication between the clinic and its patients. Do not use it for spam or bulk promotion.
- Platform rules change and platforms have outages. We are not responsible for those, and the WhatsApp account used belongs to the clinic.
10. Acceptable use
You must not use the Website, the Demo or the Service to:
- break the law, or upload content that is unlawful, infringing or harmful, including malware;
- try to reach another clinic’s data or systems, or probe, scan or test the security of Odontra without our written permission;
- interfere with or overload the Service, or reverse engineer it except where the law allows;
- copy, resell or white-label Odontra, or use it to build a competing product, without our written permission;
- impersonate anyone, harass others or send spam; or
- share sign-in details publicly.
If these rules are broken we may suspend access or remove content, with notice where reasonable — and immediately where that is needed to protect patients’ data or the Service.
11. Our intellectual property
The Odontra name and logo, the software, the design and our content belong to DCPL or its licensors. While you are a customer we give you a limited, non-exclusive, non-transferable, revocable right to use the Service for your clinic’s own business, under these Terms and your Order. You get no other rights. You may say truthfully that you use Odontra, but please do not use our name or logo otherwise without permission. If you send us suggestions, we may use them freely without payment.
12. Confidentiality
Each side will keep the other’s non-public information (for example pricing, security details and Clinic Data) confidential and use it only for the purposes of these Terms. This does not cover information that is public, was already known to the receiver, was developed independently, or must be disclosed by law (in which case, where allowed, the other side is told first). This duty continues for three years after the agreement ends, and for Clinic Data for as long as we hold it.
13. Third-party services
The Service depends on third parties, such as Cloudflare for hosting, WhatsApp (Meta), the AI provider the clinic chooses, and the UPI apps, banks and payment providers patients use. Their terms apply to those services. We are not responsible for their acts, outages or changes.
14. Starting and ending
- Website and Demo. You can stop using them at any time, and we may restrict access at any time.
- Service. The term is in your Order. Either side may end the agreement if the other commits a serious breach and does not fix it within 30 days of written notice. We may suspend the Service at once for a security or legal risk or for unlawful use. A clinic can ask to stop at any time, subject to any minimum term and fees in its Order.
- After it ends. Access stops. Unless we ended the agreement for serious unlawful use or the law prevents it, the clinic has at least 30 days to export its data; after that we delete it as described in the Privacy Policy, unless the law requires us to keep it. Fees already due stay payable. Sections that by their nature continue (intellectual property, confidentiality, liability, governing law) continue.
15. Disclaimers
The Website and the Demo are provided “as is” and “as available”. For the Service, we promise only that we will provide it with reasonable skill and care and as described in your Order. To the extent the law allows, we give no other warranties, including about fitness for a particular purpose or that the Service will be uninterrupted or error-free. Nothing in these Terms takes away rights you have under the law that cannot be taken away.
16. Limits on liability
To the extent the law allows:
- neither side is liable to the other for indirect, incidental, special or consequential losses, or for loss of profit, revenue, goodwill or expected savings;
- our total liability for all claims relating to the Service in any 12 months is limited to the fees the clinic paid us for the Service in the 12 months before the event that gave rise to the claim. For the Website and the free Demo, our total liability is limited to ₹10,000;
- we are not liable for clinical outcomes, treatment decisions or the content of clinic records. Those rest with the clinic and its doctors (see section 8); and
- nothing in these Terms limits liability for fraud or wilful misconduct, for death or personal injury caused by negligence, or for anything else the law does not allow to be limited.
17. Claims from others
The clinic will defend us and pay the losses, costs and damages awarded against us in a third-party claim that arises from (a) Clinic Data or the lawfulness of how the clinic collected or used it, (b) the clinic’s breach of these Terms or misuse of the Service, or (c) the clinical care the clinic provides. We will tell the clinic promptly about the claim, let it run the defence, and cooperate reasonably.
18. Changes
We may update these Terms. The new version is posted here with a new “last updated” date. For customers, we will give at least 30 days’ notice by email or in the product of any change that materially reduces your rights. If you keep using the Service after a change takes effect you accept it; if you do not agree, you can end the agreement as set out in your Order.
19. Governing law and disputes
These Terms are governed by the laws of India. If a dispute arises, please first write to info@dcpltechnology.com and give us 30 days to resolve it with you in good faith. If it is not resolved, the courts at Surat, Gujarat, India have exclusive jurisdiction. Either side may ask a competent court for urgent relief to protect its rights.
20. General
- Whole agreement. These Terms, your Order, the Privacy Policy and any data processing agreement we sign are the whole agreement on their subject and replace earlier discussions.
- If a part is invalid, the rest continues. If we do not enforce a right straight away, we have not given it up.
- Assignment. We may transfer these Terms to an affiliate or to a successor of our business. You may not transfer yours without our written consent.
- Events beyond control. Neither side is liable for a delay or failure caused by events beyond its reasonable control.
- Relationship. The parties are independent. Nothing here creates a partnership, agency or employment.
- Notices. We may send notices to the email address you have given us; you may send them to info@dcpltechnology.com.
- Electronic record. These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it, and do not need a physical or digital signature.
- Language. The English version prevails over any translation.
